Terms and Conditions

1. Acceptance of Terms

By accessing and using the services provided by Horus Technologies ("Company," "we," "us," or "our"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Services Description

Horus Technologies provides cloud consulting, artificial intelligence solutions, business transformation services, and spatial computing solutions. Our services include but are not limited to:

  • AWS consulting and cloud architecture design
  • Generative AI and machine learning implementation
  • Business process automation and optimization
  • Spatial computing and immersive technology solutions
  • Custom software development and integration
  • Data analytics and business intelligence solutions

3. Intellectual Property Rights

3.1 Company Intellectual Property

All intellectual property rights in our proprietary methodologies, frameworks, tools, and documentation remain the exclusive property of Horus Technologies. This includes but is not limited to:

  • Proprietary software and algorithms
  • Technical documentation and methodologies
  • Training materials and best practices
  • Custom frameworks and solutions

3.2 Client Intellectual Property

We respect and acknowledge that all client data, business processes, and pre-existing intellectual property remain the exclusive property of the client. We will not use, disclose, or reproduce client intellectual property except as necessary to provide agreed-upon services.

4. Confidentiality

Both parties acknowledge that they may have access to confidential information. We agree to maintain strict confidentiality of all client information and will not disclose such information to third parties without prior written consent, except as required by law or court order.

5. Client Responsibilities

Clients agree to:

  • Provide accurate and complete information necessary for service delivery
  • Grant appropriate access to systems and personnel as required
  • Participate actively in project phases requiring client input
  • Comply with all applicable laws and regulations
  • Maintain the security of access credentials and systems

6. Payment Terms

Payment terms are specified in individual service agreements. Generally:

  • Invoices are due within 30 days of receipt
  • Late payments may incur interest charges
  • Services may be suspended for non-payment
  • All prices are exclusive of applicable taxes

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, HORUS TECHNOLOGIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OUR SERVICES.

Our total liability for any claim arising out of or relating to these terms or our services shall not exceed the amount paid by you for the specific service giving rise to the claim during the twelve months preceding the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless Horus Technologies and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from your use of our services or violation of these terms.

9. Service Level Agreements

Specific service level agreements, including uptime guarantees, response times, and performance metrics, are detailed in individual service contracts. We strive to maintain high availability and performance standards for all our solutions.

10. Data Security and Privacy

We implement industry-standard security measures to protect client data, including:

  • Encryption in transit and at rest
  • Access controls and authentication mechanisms
  • Regular security audits and assessments
  • Compliance with applicable data protection regulations

11. Termination

Either party may terminate services with written notice as specified in individual service agreements. Upon termination:

  • All outstanding invoices become immediately due
  • Each party will return or destroy confidential information
  • Client data will be returned or securely destroyed as requested
  • Surviving clauses will remain in effect

12. Force Majeure

Neither party shall be liable for any failure to perform due to unforeseen circumstances or causes beyond their reasonable control, including but not limited to acts of God, war, terrorism, pandemic, government regulations, or natural disasters.

13. Governing Law and Jurisdiction

These terms shall be governed by and construed in accordance with the laws of the State of California, United States. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of San Diego County, California.

14. Dispute Resolution

Any disputes arising from these terms or our services shall first be addressed through good faith negotiations. If resolution cannot be achieved within 30 days, disputes may be submitted to binding arbitration under the rules of the American Arbitration Association.

15. Modifications

We reserve the right to modify these terms at any time. Material changes will be communicated to clients with reasonable advance notice. Continued use of our services after such modifications constitutes acceptance of the updated terms.

16. Severability

If any provision of these terms is found to be unenforceable or invalid, such provision shall be limited or eliminated to the minimum extent necessary so that the remaining terms shall remain in full force and effect.

17. Entire Agreement

These terms, together with any applicable service agreements, constitute the entire agreement between the parties and supersede all prior understandings and agreements, whether written or oral, relating to the subject matter herein.
